Job Description:
SourcePro Search is conducting a search for a Corporate
Paralegal in San Diego, CA with a top-rated law firm. This role
requires experience in Corporate law, with proficiency in Blue Sky,
Carta and Section 16. This role is based in San Diego and includes
a hybrid work arrangement. Candidates must be able to work both
on-site and remotely. What You'll Do: Your day will be spent
performing a range of substantive case, matter, or entity-related
duties by supporting efforts between attorneys, clients, outside
legal counsel, opposing legal counsel, and other parties. This will
include developing, monitoring, and updating closing and other
books and other documents. You will also be responsible for
researching, preparing, and filing legal UCC Financing Statements,
Articles of Incorporation/Organization, annual reports, managing
data rooms, and matter files, coordinating execution and delivery
of documentation to other parties’ counsel, lenders, governmental
agencies, etc., including all closing documentation. You will also
develop, monitor, and update closing and other checklists. General
& Essential Job Expectations: Effectively communicate, verbally and
in writing, with clients, lawyers, business professionals, and
third parties; Produce deliverables, answer phone calls, and reply
to correspondence in an efficient and responsive manner; Provide
timely, accurate, and quality work product; Successfully meet
deadlines, expectations, and perform work duties as required;
Foster positive work relationships; Comply with all firm policies
and practices; Engage in both physical and sedentary activity, such
as (a) working at a computer for extended periods of time,
including on-screen reading and typing; (b) participating in
digital/virtual conference calls; (c) participating in meetings as
needed; Perform all other duties, tasks or projects as assigned.
What You'll Bring: Bachelor's Degree Degree and/or a Paralegal
certificate. Must meet the California Paralegal Requirements 1 year
of Paralegal experience Must have strong skills in Word, Excel and
Outlook Experience with legal software such as Relativity,
LexisNexis, Westlaw or similar application required Public and
private company experience Carta experience Section 16 experience
Blue Sky experience Experience preparing and filing a variety of
corporate legal documents (Articles of Incorporation/Organization,
amendments, state qualifications, consents, merger documents,
closing books, electronic closing sets, initial drafts or
certificates, short-form closing deliverables, and filing annual
reports) Strong skills in Microsoft Word, Excel, and Outlook Large
